Corporate Governance Framework

Corporate Governance Overview Statement
The Board meets at least quarterly in each financial year to review the formal schedule of matters specifically reserved for its approval. Additional meetings may be convened as special Board meetings, as and when necessary. In the intervals between Board meetings, any matters requiring urgent Board’s decisions or approvals will be sought via circular resolutions.
In FY2024, the Board met four times. The Company Secretary is in attendance in every meeting while the Senior Management, Internal and External Auditors and the Corporate Advisors will attend the Board meetings upon invitation, as necessary. The Board has adopted a 75% Board Meeting Attendance requirement, in line with good governance practices. In FY2024, all the Directors complied with the 75% Board meeting attendance requirement.
The strategic planning process ensures a focused, data-driven approach to long-term goals. Key steps include:
- Defining Priorities: Stakeholder consultations to establish strategic focus areas.
- Data Analysis: Industry insights, Strengths, Weaknesses, Opportunities, and Threats (SWOT) analysis, and trend assessments.
- Goal Setting: Establishing strategic pillars, initiatives, and Key Performance Indicator (KPI) across three time horizons – 2028, 2032, and 2035.
- Review and Feedback: Validation by senior leaders and external experts.
- Approval and Launch: Council approval in November 2024 and stakeholder roll out by January 2025.
Anti-Bribery, Corruption Anti-Bribery, Corruption And Fraud
The Group maintains a set of effective systems to counter bribery, corruption and fraud according to the Code of Conduct, as well as robust corporate policies pertaining to bribery, corruption, money laundering and whistleblowing. We have zero tolerance for all forms of bribery and corruption as detailed in the Anti-Bribery and Corruption (ABC) Policy. The ABC Policy is communicated to our Senior Management and employees via various platforms, training sessions, induction program and our corporate website.
Training on the ABC Policy is also provided Group-wide via online learning to make sure our employees have complete understanding of the various forms of bribery and compliance with anti-bribery and anti-corruption laws, to inculcate a culture of integrity across Taylor’s. In the year under review, 100% of employees received information and attended training on the ABC Policy.
Further to that, the Board, which oversees the ABC Policy, has established an Anti-Bribery and Corruption Task Force to ensure anti-bribery and corruption policies and procedures are properly implemented to reinforce and protect our business against all forms of corruption and bribery.
Since 2020, our business units have been submitting a bribery and corruption risk assessment report on a quarterly basis to Group Internal Audit (GIAD). In addition, GIAD has implemented an ongoing bribery and corruption risk assessment since 2023 for all business divisions and functional departments. Taylor’s employees are expected to uphold the highest standard of business ethics and to conduct themselves professionally with integrity in carrying out their individual roles at work to mitigate any legal risks, fines or penalties that will negatively impact our business. The GIAD is responsible for reporting and handling all cases of alleged fraud according to its fraud response plan and procedure to prevent fraud.
There were ZERO reported cases of bribery, corruption and fraud in the year under review. No employees were disciplined or dismissed due of non-complience with the ABC Policy
